2023 Conference and AGM
Nominees for Board of Directors
As you are aware by now the 2023 Annual General Meeting will take place Thursday September 21, 2023, at 1:00 PM EST. Members will have the opportunity to receive updates on the affairs of the association, vote on any proposed changes to the association’s By-Laws, and vote for members that are running for seats on the board of directors. This year’s election will be for four (4) Director seats; three (3) for a two-year term and one (1) for a one-year term. The seat available for one (1) year is due to the the resignation of a board member who was elected to a two-year term. Section 9-5 states; “Any vacancy occurring in the board of directors shall be filled at the next annual meeting by a regular vote of the members of the association.”
Article 3 of the CNAREA By-laws outlines the structure and requirements for members of the Board of Directors and Article 9 outlines Meetings and Voting.
As a reminder Section 3-5 of the CNAREA By-Laws states that “The President of CNAREA shall be elected at an annual general meeting of the association. Only a duly elected, present member of the current board of directors is eligible to become President.” The next election for President will be at the AGM in 2024, as such only those on this upcoming board of directors will be eligible to run for President.
Designated members who are members in good standing are eligible to vote in the elections, nominate, and provide their proxy should they not be able to attend in person or virtually. Section 9-7 of the CNAREA By-Laws states; “All voting members shall be permitted to vote by proxy authorized to another voting member. All authorizations of proxy votes must be in writing and be signed by the voting member giving their voting right to another member. Any voting member may hold up to a maximum limit of three (3) proxies and may vote those proxies on any single issue.”

Nominees should be aware that Section 3-4 of the CNAREA By-laws states:
“To be eligible to run for the Board of Directors a nominee must be present at the Annual General Meeting (AGM) either in person or in attendance virtually.”
It is important to note that members can be nominated up to and including at the AGM however logistically it is better to have names prior to the AGM.
